These Maintenance & Support Agreement Terms (“Terms”) govern the subscription-based website maintenance and support services (“Services”) purchased from Glass Web Services (“Glass,” “we,” “us,” or “our”) by the purchasing customer (“Customer,” “you,” or “your”).
These Terms are made available for review before payment. By completing a payment or otherwise enrolling in a Maintenance & Support subscription, Customer acknowledges that Customer has reviewed, understood, and accepted these Terms. These Terms, together with the applicable service package description, pricing information, and checkout disclosures, form the agreement between Customer and Glass for the Services.
These Terms are intended to provide general information about the terms applicable to the Services. Customer should carefully review the complete Terms before completing a purchase.
Glass will provide website maintenance and support services beginning when the initial payment is successfully processed and the applicable subscription is activated.
Customer’s Services will be based on the Maintenance & Support package selected during checkout. Additional details regarding available packages, included services, and current pricing are available at:

The Services may include the specific maintenance and support items described in the applicable package. Services not expressly included in the selected package may be subject to additional charges.
As part of the Reliable Site and Total Care Packages, the following services are limited to a total of four hours per month:
Unused monthly service time does not carry over to a subsequent month unless Glass agrees otherwise in writing.
In exchange for the Services, Customer will pay Glass monthly according to the service package selected during checkout.
The first payment is due when Customer enrolls in the subscription. Subsequent payments will be charged automatically each month on or about the applicable monthly billing date using the payment method provided by Customer.
By completing payment, Customer authorizes Glass or its payment processor to charge the payment method provided for the applicable recurring monthly subscription charges, together with any authorized additional charges, until the subscription is properly canceled or otherwise terminated under these Terms.
Any Services or package that requires a minimum commitment will be billed according to the applicable commitment terms, including any required commitment amount due at the time of enrollment.
The subscription will continue on a month-to-month basis unless canceled or terminated in accordance with these Terms. Customer is responsible for reviewing the recurring billing amount, renewal terms, and cancellation procedure before completing payment.
Depending on the package selected by Customer, certain products, services, requests, revisions, or other items may not be included in the monthly subscription.
Glass will provide pricing for additional products or services upon request, consultation, or before beginning work that is outside the selected package. Customer is responsible for approved additional charges.
Unless otherwise agreed in writing, third-party costs—including hosting, domain registration, premium software, plugins, applications, subscriptions, licenses, advertising, and other third-party products or services—are not included in the monthly subscription.
If a payment is declined on the original payment date, Glass may attempt to process the payment again within one to two business days.
If the payment declines a second time:
Failure to pay for the Services is not a cancellation. Monthly service charges may continue to accrue while Customer’s account is on hold until the account is properly canceled or terminated.
Glass is not required to resume Services until all past-due amounts, applicable fees, and other amounts owed have been paid.
Payments that are reversed, disputed, charged back, or otherwise returned may be treated as unpaid. Customer remains responsible for any resulting balance, fees, collection costs, or other amounts permitted by law.
The New Customer Promotion is available only to eligible new customers who enroll in a qualifying Maintenance & Support subscription through the designated webpage:

For purposes of this promotion, a “new customer” is a person or business that has not received any services from Glass during the six consecutive calendar months immediately preceding enrollment.
Glass may determine eligibility based on its records, including whether a person, business, owner, related business, or account previously received services from Glass.
An eligible new customer who successfully pays for two consecutive months of Maintenance & Support Services may receive the third month free in the form of a rebate.
The Customer must:
The third-month benefit is provided as a rebate and is not an advance credit or automatic waiver of the third monthly payment.
Within 15 calendar days after the third payment is successfully completed, Glass will issue a rebate equal to the amount paid for the third month of the applicable Maintenance & Support subscription.
The rebate will be issued to the original payment method used for the qualifying purchase. Glass may require the original payment method to remain active and capable of receiving the rebate.
The rebate does not include separate charges for additional services, products, third-party costs, returned-payment fees, non-sufficient funds fees, or other charges that are not part of the regular third-month Maintenance & Support subscription payment.

The subscription is month-to-month and will continue unless properly canceled or terminated under these Terms.
During the subscription term, Glass will be the only service provider providing the selected Maintenance & Support Services for the website or business identified by Customer during enrollment. Customer agrees not to engage another provider to perform the same selected Services during the subscription term unless Glass provides written authorization.
This exclusivity does not prevent Customer from using separate providers for services that are not included in Customer’s selected Glass package.
Either Customer or Glass may terminate the subscription by providing 30 days’ written notice by email.

Glass may send notices to the email address provided by Customer during enrollment or subsequently provided to Glass in writing.
Cancellation will become effective on the last day of the then-current billing cycle after the required 30-day notice period has elapsed. Customer remains responsible for all charges incurred before the effective termination date.
No credit or refund will be provided for payments already received, except where expressly required by law or as specifically stated in the New Customer Promotion section.
Cancellation does not eliminate Customer’s responsibility for unpaid charges, additional charges, returned-payment fees, or other amounts incurred before the effective termination date.
Glass, including its employees, agents, and representatives, will not use for personal benefit or disclose, divulge, or communicate any proprietary or confidential information belonging to Customer, except as necessary to provide the Services or as permitted or required by law.
Glass will protect Customer’s proprietary and confidential information and treat it as confidential. This obligation does not apply to information that:
In addition to any other rights or remedies available under applicable law, if either party defaults by failing to substantially perform any provision, term, or condition of these Terms—including failing to make a payment when due—the non-defaulting party may provide written notice describing the default.
The party receiving notice will have seven days from the effective date of the notice to cure the default, unless a different period is required by law or waived in writing by the party providing notice.
If the default is not cured within the applicable period, the non-defaulting party may terminate the subscription and pursue any other remedies available under these Terms or applicable law.
Glass may suspend the Services for nonpayment, security concerns, misuse of the Services, or other material breach. Suspension does not constitute cancellation and does not eliminate Customer’s obligation to pay amounts that continue to accrue under these Terms.
Glass will use reasonable efforts to provide the Services described in the applicable package. However, Glass does not guarantee that the Services will produce any particular business result, increase in traffic, improve search rankings, generate leads, increase sales, prevent all website errors, or maintain uninterrupted website availability.
Website performance may be affected by hosting providers, domain registrars, internet service providers, third-party software, plugins, applications, security systems, website platforms, and other matters outside Glass’s reasonable control.
These Terms, the applicable service package description, pricing information, checkout disclosures, and any written terms expressly incorporated into the enrollment process constitute the entire agreement between Customer and Glass concerning the Maintenance & Support Services.
These Terms supersede prior written or oral promises, representations, discussions, or agreements concerning the same subject matter.
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable.
If a court determines that a provision would be enforceable if limited or modified, that provision will be interpreted and enforced to the maximum extent permitted by law.
These Terms will be governed by and interpreted under the laws of the State of Arizona, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved under applicable Arizona law and in a court of appropriate jurisdiction.
Customer grants Glass permission to use Customer’s business name, logo, website images, and screenshots of Customer’s website for Glass’s promotional, portfolio, advertising, website, presentation, and marketing purposes.
Glass will not intentionally use such materials in a misleading manner or imply an endorsement beyond the fact that Customer has used or received services from Glass.
By completing the Stripe payment or otherwise enrolling in the Maintenance & Support subscription, Customer confirms that Customer has had an opportunity to review these Maintenance & Support Agreement Terms and agrees to be bound by them.
